Terms and Conditions
SPS Timber Windows Ltd (“the Company”)
“The Company” means SPS Timber Windows Limited. “You” means you, the Customer.
1. Quotations and Orders
1.1 Unless specified otherwise, our quotation is valid for a period of 21 days, after which time the Company reserves the right to requote. VAT / tax is invoiced at the rate applicable at date of invoicing.
1.2 Prices quoted are subject to a site survey unless specified otherwise.
1.3 Your order is officially confirmed once we have received your deposit and you are thereby agreeing to comply with our Terms and Conditions.
1.4 Price(s) quoted are subject to the cost of raw materials effective at the date of quotation. The Company reserves the right to requote if your order is not placed within 21 days or if delays occur that materially affect material costs.
1.5 You must ensure the accuracy of goods and services detailed in the Customer Order Summary (including CAD drawings and specifications). Manufacture will not commence until approved by you in writing.
1.6 Amendments to specifications may incur additional charges which will be confirmed in writing.
1.7 If supply is delayed by you, we reserve the right to increase the price for additional labour time.
1.8 Scaffolding estimates are included where possible. Additional costs will be notified if identified later. Scaffolding is for Company use only unless authorised.
1.9 CAD drawings are supplied for approval. Additional designs may incur extra charges. SPS Timber Windows Ltd retains copyright on all drawings
2. Survey
2.1 Our survey is not a full structural survey and relates only to the installation of goods or services.
2.2 Prices assume the property is structurally sound. Hidden defects may require additional work and charges with your approval.
2.3 If technical problems significantly increase costs, we may cancel or amend the contract. You may cancel within 7 days of notice.
2.4 Problems discovered during installation which could not reasonably have been identified during survey may require additional works and price adjustments. You must pay for work already completed and goods manufactured.
2.5 Final measurements are taken during survey. Changes to openings must be notified in writing before manufacture.
2.6 If goods are manufactured without survey, you accept full responsibility for measurements.
3. Private Work
3.1 Employees cannot carry out private work unless authorised by the Managing Director.
4. Price and Payment
4.1 Discounts apply only at the date of contract.
4.2 A 25% deposit is required to confirm your order.
4.3 Interim payments:
• 25% during manufacturing
• 40% before installation.
4.4 The final 10% payment is due upon completion of installation or delivery. Minor outstanding items do not entitle the customer to withhold the full balance and any retention shall be limited to the reasonable value of those outstanding items.
4.5 Phased installations require payment after each phase.
4.6 Payments accepted via bank transfer, BACS, CHAPS, credit or debit card including Visa, MasterCard and American Express.
4.7 A 2% transaction fee applies to corporate credit card payments.
4.8 Late payments may result in suspension of services and interest charged at 3% above the Barclays base lending rate.
4.9 Guarantees and warranties are valid only once full payment has been received.
5. Delivery of Goods
5.1 Delivery dates are estimates only.
5.2 Scaffolding is normally erected shortly before installation and removed within approximately 7 days.
5.3 We are not liable for delays outside reasonable control.
5.4 You must provide property access when goods are ready or the outstanding balance may become payable.
5.5 Stored goods must be paid for in full within 3 days.
6. Preparation for Installation
6.1 You must remove fixtures that obstruct installation.
6.2 We may move items at additional cost where requested.

7. Specifications of Goods and Services
7.1 Work follows Customer Order Summary specifications.
7.2 Minor internal decoration damage will be repaired to a basic finish only.
7.3 Property must be structurally sound.
7.4 We are not liable for fragile retained items breaking during removal.
7.5 Exact replication of existing installations cannot be guaranteed.
7.6 Specifications may change due to product improvements.
7.7 Colour variations across batches or over time are not faults.
7.8 Brush finishing following installation may result in minor variations in finish.
7.9 Ironmongery finishes may vary and require maintenance depending on environmental conditions.
7.10 Work is deemed accepted if no written concerns with reasonable details are received within 7 days of completion.
8. Risk, Title and Insurance
8.1 Risk transfers upon delivery (supply only) or upon completion of installation.
8.2 Ownership transfers only after full payment has been received.
8.3 Warranty and guarantee periods commence once payment has been completed.
8.4 Once goods have been delivered or installed they are deemed complete for the purposes of risk, care and protection even if minor adjustments or decorative finishing works remain outstanding. The customer is responsible for protecting installed items from site exposure or ongoing building works.
9. Cancellation of the Contract
9.1 Cancellation allowed within 14 days of deposit with a £150 + VAT administration charge.
9.2 Later cancellation may incur reasonable losses and costs including design, materials or manufacturing costs.
9.3 Phased contracts are treated as separate agreements.
10. Limitation of Liability
10.1 Liability is limited to the contract price.
10.2 Only guarantees stated in the quotation apply.
10.3 No liability for indirect or consequential loss.
10.4 No liability for delays caused by the customer.
10.5 Maximum liability shall not exceed the amount paid under the contract.
11. Our Insurance
11.1 Employer Liability £10,000,000 and Public Liability £5,000,000.
12. Your Obligations
12.1 You must provide access, facilities and any necessary legal permissions including planning or building regulation approvals.
12.2 Payment remains due even if permissions are refused.
13. Assignment
13.1 We may assign the contract but you may not without written consent.
14. Force Majeure
14.1 We are not liable for delays beyond reasonable control including extreme weather, disasters, pandemics, supply disruptions or government restrictions.
15. General
These summary Terms and Conditions should be read together with the full SPS Timber Windows Ltd Terms and Conditions provided with your quotation or estimate, which shall govern the contract.
